WEIBOOK Platform Terms and Conditions of Use

These Terms and Conditions govern access to and use of the technological platform owned by WEI LABS S.A.S., commercially operated as WEIBOOK, and constitute a legally binding agreement between WEIBOOK and the registered User. By registering, subscribing, or using the Platform (www.weibook.co), the User acknowledges having read, understood, and agreed to the entirety of this document. WEIBOOK provides access to a cloud-based management tool designed for professionals and businesses in the beauty and wellness sector to manage bookings, payments, communications, and other commercial features. WEIBOOK is not responsible for the relationship between the User and their own clients, nor for the services provided by the User. Promotion shall be understood as any acquisition of a Weibook service and/or Flex plan for an amount lower than the total agreed annual amount. In such cases, the User accepts that, for the following billing cycle, Weibook is authorized to make the corresponding adjustment to the plan’s value, applying the rate in force at the time of billing. In addition to access to the Platform, WEIBOOK offers users an integrated experience that includes: • Technical and operational support: Technical support is available within the hours established by WEIBOOK's support team, with fast response times and a specialized team to resolve issues related to Platform usage. • Updates and improvements: WEIBOOK performs developments, updates, and improvements to the platform independently, which are released periodically at no additional cost. However, specific developments for particular client needs (e.g., custom platform modifications) will be subject to additional cost and will be evaluated for feasibility based on technical viability and available resources. • Training and educational materials: WEIBOOK offers personalized training to Users who contract the Unlimite or Ultra plan. Additionally, periodic educational materials are provided to all other Users to facilitate optimization of Platform features usage. • Trial periods: Users may access trial periods for new products, experimental features, or add-ons, which may be limited in duration and subject to changes. This added value is part of the contracted service, and its use or impact will not affect previously established conditions for returns, cancellations, and renewals.

The use of the Platform operates under a recurring subscription model processed by Stripe, Inc. By subscribing, the User authorizes automatic and periodic charges according to the selected plan (monthly, quarterly, semi-annual, or annual), until a formal cancellation is requested in accordance with these Terms. Renewal is automatic for the same original period, unless the User requests cancellation at least fifteen (15) business days (Colombia calendar) before the next billing date. In case of price modifications, the User will be notified with at least thirty (30) calendar days (Colombia) advance notice by email or other available means. If the User does not accept the new prices, they may cancel the subscription without additional charges.

Weibook will make money refunds in the following cases: • When the user exercises their right of withdrawal; they will have 5 business days from the contract execution to request the refund. (Applies only to the first subscription, not renewals). • When the user notifies Weibook that they wish to change their plan to one with a lower cost. The user must notify 10 business days before their subscription renewal date. To request a refund, the user must send a formal request to the following email address: [email protected] Money refunds do not apply in these cases: • Weibook will not grant refunds or credits for partially used membership periods. • When a double charge is processed due to an error by Weibook or the User, it will be applied to the following months of the plan, no refund will be made. • In case the User has made an annual payment, no money refund will be made. In this case, the user will have 5 business days to exercise their right of withdrawal from the moment they make their payment. Applies to the first subscription. • In case the User has 2 or more locations or products (flex) and requests the removal of only one of them, no refund will proceed. • After the subscription renewal charge has been processed and the user notifies that they want to change to a lower value plan. • When the user makes a payment through a payment link (Applies only to corporate users who maintain this payment method active). • The user must cancel the subscription 10 business days before the due date of their plan's recurrence. If not, no money refund will be made. The payment period must be completed and at the end, the subscription will be canceled. • Force majeure is understood as all those cases where unforeseen circumstances occur, or that, despite being foreseeable, were unavoidable, that do not depend on the will of the parties or escape their control, and that cannot be avoided by them, and motivate the impossibility of fulfilling, in whole or in part, the obligations of the parties or make it extremely onerous for the affected party to fulfill them, provided that there has been no negligence or fault on their part. • Automatic renewals that were not canceled on time. • Plan changes mid-cycle (30 calendar days) of billing. • Purchases of complementary services (flex) already partially or fully activated. • Annual or semi-annual subscriptions, except as provided above within the initial 5 business days (Colombia calendar). • For free trial: If the business did not cancel the subscription with one day's notice before the expiration of the free trial and the plan charge was processed, the discounted amount will not be refunded by Weibook. • In the event that the acquisition of the service has been made under a promotion, special discount, or preferential rate, no refund of the amount paid shall apply, since such conditions involve an immediate and irreversible economic benefit at the time of purchase. Consequently, the user who acquires Weibook through promotions or discounts expressly accepts that, even within the legal withdrawal period, there will be no refund of the amounts paid. Right of withdrawal: The USER may exercise their right of withdrawal under the terms of Article 47 of Law 1480 of 2011, that is, they may request that the transaction be reversed, losing control over their account and receiving a refund of what was paid. To exercise the right of withdrawal, the USER must exercise it within the legal opportunity, that is, during the five (5) days following the contract execution. In no case can it be understood that Weibook has not provided the service, due to the fact that the User has not used the system or has not accessed such services for a certain time.

The User may cancel their subscription by written request to the support team. The cancellation will not affect previously made payments, and it is processed without additional charges, unless otherwise indicated in the negotiation. To avoid the next automatic renewal, the cancellation must be requested with at least fifteen (15) business days (Colombia calendar) advance notice to the next billing date. Cancellations made outside this period will not prevent the next billing, but will stop subsequent renewals. For businesses that registered under the free trial model (7 free days for platform use), once this period is completed, the subscription charge selected at the time of registration will be processed. If the business does not want this charge to be made, they must contact us at least 1 day before the expiration of their free trial to avoid the charge.

In case of a payment failure, WEIBOOK will attempt additional charges. If payment is not resolved, the account may be temporarily suspended, resulting in loss of access to the contracted features. Account reactivation will be performed 24 business hours after full payment of the outstanding balance is made.

All intellectual property rights of the software, its modules, source code, designs, trademarks, and content are the exclusive property of WEIBOOK. By contracting the service, the User receives a limited, revocable, non-exclusive, and non-transferable license to use the Platform exclusively for commercial purposes related to the beauty and wellness sector. It is strictly prohibited to copy, modify, resell, reverse-engineer, or extract data from the software without prior written authorization from WEIBOOK.

WEIBOOK will not be liable for: • Failures resulting from the User's misuse of the software. • Noncompliance in the services offered by the User to their own clients. • Connectivity issues, device availability, or the User's internet access. • Data loss due to User errors or force majeure, such as natural disasters, infrastructure failures, or cyber attacks. • Use of WhatsApp and Customer Responsibility: Weibook offers integration with the WhatsApp platform to facilitate communication between the customer and their users. However, the use of this integration is subject to WhatsApp's policies and terms of service (owned by Meta Platforms, Inc.). Warning: WhatsApp may restrict, suspend, or block numbers that show a high volume of messages, automated use, or any activity it considers to be a violation of its rules. Weibook is not responsible for blocking, suspension, or any other action taken by WhatsApp in relation to the customer’s number. It is the customer’s responsibility to ensure proper use of the service in accordance with WhatsApp policies. We recommend periodically reviewing the WhatsApp Business Terms and Conditions to avoid inconveniences.

The User agrees to indemnify WEIBOOK against any claim, lawsuit, legal, administrative action, or reputational damages arising from the use of the Platform, the content uploaded by the User, or the services provided by the User to third parties.

WEIBOOK may update these Terms at any time. Modifications will be notified by email or through the Platform. The User may choose to cancel their subscription if they do not agree with the changes, without this implying additional costs. Continued use of the service after such changes constitutes express acceptance of them.

In compliance with Law 1581 of 2012, the User expressly authorizes WEIBOOK to collect, store, process, and use the personal data provided when registering on the Platform, for the purpose of managing access to services, making communications related to Platform usage, and fulfilling obligations derived from the services provided. Data collection: During the registration and Platform usage process, personal data will be collected such as, but not limited to, name, email, phone number, payment information, and data related to the User's commercial activity. Data usage: Personal data will be used exclusively for purposes related to the provision of services offered by WEIBOOK, including Platform improvement, technical support provision, sending commercial communications related to WEIBOOK products and services, and conducting satisfaction surveys. Data protection: WEIBOOK will adopt all necessary technical and organizational measures to ensure the security, confidentiality, and integrity of personal data, in accordance with applicable legal and regulatory provisions. User rights: The User has the right to know, update, rectify, delete, and revoke consent regarding their personal data, at any time, by written request sent to WEIBOOK's support team. Likewise, the User may file complaints with the personal data protection authority if they consider their rights have been violated. Data transfer: WEIBOOK may transfer personal data to third-party service providers (such as payment platforms) exclusively for operational purposes necessary for the management of contracted services. Under no circumstances will personal data be sold or transferred to third parties for commercial purposes unrelated to the provision of WEIBOOK services.

This agreement is governed exclusively by the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws rules. The parties irrevocably submit to the exclusive jurisdiction of the courts of the State of Delaware or the federal courts of the District of Delaware for the resolution of any dispute arising out of or relating to these Terms or the use of the Platform. Notwithstanding the foregoing, WEIBOOK may seek injunctive or protective relief before any court of competent jurisdiction when the nature of the dispute so requires. The User acknowledges having had the opportunity to review these Terms, having sought legal counsel if deemed appropriate, and accepts that the choice of Delaware as the governing jurisdiction is valid, reasonable, and has been freely consented to.

WEIBOOK will use commercially reasonable efforts to keep the Platform available with a target monthly uptime of 99.5%, excluding the following periods: • Scheduled maintenance, announced at least 24 hours in advance by email or through the Platform. • Outages caused by factors outside WEIBOOK's reasonable control, including failures of cloud-infrastructure providers, denial-of-service attacks, or force-majeure events as defined in Article 7. • Service degradations caused by the User's equipment, internet connection, or configuration. Availability credits. If actual monthly availability falls below 99.5% due to causes attributable solely to WEIBOOK, the User may request a credit equal to the pro-rated portion of the affected days against their current monthly subscription. This credit is the User's sole and exclusive remedy in connection with service interruptions. Credit requests must be submitted within thirty (30) calendar days following the incident through the support email. WEIBOOK does not warrant that the Platform will be error-free or operate without interruption. The Platform is provided "as is", without implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by the laws of the State of Delaware.

13.1 Scope. WEIBOOK offers artificial-intelligence features through Wanda AI ("Wanda"), an assistant integrated into the Platform. Use of Wanda is subject to these Terms and to the specific conditions of this section. 13.2 Nature of the service. Wanda generates informational and operational answers and recommendations based on language models and on the User's business data. Wanda's outputs are automated suggestions and do not constitute professional, legal, financial, or any other regulated advice. The User is solely responsible for the decisions made on the basis of Wanda's responses. 13.3 Accuracy. AI models can produce inaccurate, incomplete, or out-of-date results. WEIBOOK does not warrant the accuracy, completeness, or fitness of Wanda's responses for any specific purpose. 13.4 Use of data to operate Wanda. To provide the Wanda service, WEIBOOK may process the User's business data (including appointment history, service catalog, and in-Platform communications) in anonymized or aggregated form for the purpose of improving the underlying models. WEIBOOK will not use the personal data of the User's end customers to train AI models without the User's explicit consent. Data processing under this section is carried out in compliance with the Delaware Personal Data Privacy Act ("DPDPA"), 6 Del. C. Ch. 12D. 13.5 Prohibitions. It is expressly prohibited to use Wanda to generate misleading, defamatory, discriminatory content or content that infringes third-party rights; to automate decisions affecting people's fundamental rights without human oversight; or for any purpose contrary to applicable law. 13.6 Modification or discontinuation. WEIBOOK may modify, limit, or discontinue Wanda's features at any time, giving the User at least thirty (30) calendar days' prior notice, unless technical or legal-compliance reasons require a shorter period.

14.1 Retention period after cancellation. Once the User's subscription is definitively cancelled or suspended, WEIBOOK will retain the User's business data (including customer records, appointment history, financial reports, and configurations) for a period of thirty (30) calendar days from the effective cancellation date ("Grace Period"). 14.2 Data export. During the Grace Period, the User may request export of their data in a standard format (CSV or equivalent) via written request to WEIBOOK's support team. WEIBOOK will process such request within ten (10) business days of receipt. 14.3 Definitive deletion. After the Grace Period elapses without the User having requested export or reactivated the account, WEIBOOK will proceed with the definitive and unrecoverable deletion of the User's business data. WEIBOOK will have no obligation to retain or recover such data thereafter. 14.4 Backup data. WEIBOOK may retain backup copies of the data for an additional period of up to ninety (90) days solely for disaster-recovery purposes. Such copies will not be accessible to the User and will be destroyed upon expiration of that period. 14.5 DPDPA compliance. The rights of access, correction, deletion, and portability recognized under the Delaware Personal Data Privacy Act (6 Del. C. § 12D-105) may be exercised by the User at any time during the subscription term, by written request to WEIBOOK's support email. WEIBOOK will respond to such requests within forty-five (45) days of receipt, with a possible extension of fifteen (15) additional days upon prior notice to the User.

15.1 Exclusion of indirect damages. In no event will WEIBOOK, its directors, employees, partners, suppliers, or licensors be liable to the User for indirect, incidental, special, consequential, punitive, or exemplary damages, including without limitation lost profits, lost data, lost goodwill, or business interruption, regardless of the cause and whether WEIBOOK was advised of the possibility of such damages. 15.2 Total liability cap. WEIBOOK's total aggregate liability to the User for any cause or claim arising out of these Terms or the use of the Platform —including claims in contract, tort, breach of warranty, or any other legal theory— will not exceed the total amount paid by the User to WEIBOOK during the twelve (12) calendar months immediately preceding the event giving rise to the claim. 15.3 Basis of the bargain. The User acknowledges that the limitations of liability set out in this article are a reasonable allocation of risk between the parties and an essential condition of the commercial relationship. Without such limitations, WEIBOOK would not have entered into this agreement nor offered the Platform at the agreed price. 15.4 Applicability. These limitations apply to the maximum extent permitted by the laws of the State of Delaware and do not apply in cases of intent, fraud, or proven willful misconduct by WEIBOOK.

If WEIBOOK determines that a security breach has occurred that compromises the personal data of the User or its end customers, WEIBOOK will comply with the notification obligations set out in the Delaware Computer Security Breaches Act, 6 Del. C. Ch. 12B, and the Delaware Personal Data Privacy Act, 6 Del. C. Ch. 12D. Specifically: • WEIBOOK will notify the affected User without undue delay and no later than sixty (60) calendar days from the determination of the incident, in accordance with 6 Del. C. § 12B-102(c). • The notice will include: (i) a description of the nature of the incident; (ii) the categories of data potentially affected; (iii) the measures taken or under way to mitigate the harm; and (iv) recommendations to the User on additional protective measures. • If the number of affected Delaware residents exceeds five hundred (500), WEIBOOK will additionally notify the Delaware Attorney General in accordance with 6 Del. C. § 12B-102(d). • WEIBOOK will maintain reasonable technical and organizational measures to protect personal data against unauthorized access, disclosure, alteration, or destruction.

The User undertakes to use the Platform solely for legitimate commercial purposes related to the management of their beauty and wellness business. The following is expressly prohibited: • Using the Platform to send unsolicited mass communications (spam) or in violation of applicable email or messaging laws. • Uploading, transmitting, or storing illegal, defamatory, obscene, threatening content, or content that infringes third-party intellectual-property rights. • Attempting to access without authorization the systems, accounts, or data of other Platform users. • Using the Platform for fraudulent activities, including the processing of payments from illegitimate sources. • Reverse engineering, decompiling, disassembling, or attempting to derive the source code of the Platform. • Using automated data-extraction tools (scraping, crawling, or similar) on the Platform without WEIBOOK's prior written authorization. • Transmitting viruses, malware, malicious code, or other elements that may damage or interfere with the operation of the Platform or third-party systems. • Subleasing, reselling, transferring, or sublicensing access to the Platform to third parties without WEIBOOK's prior written consent. WEIBOOK reserves the right to suspend or terminate the User's access immediately, without prior notice or liability, upon breach of this policy.

18.1 Severability. If any provision of these Terms is declared invalid, illegal, or unenforceable by a competent court under the laws of the State of Delaware, that provision will be modified to the minimum extent necessary to render it valid and enforceable, or removed if modification is not possible. The remaining provisions of these Terms will remain in full force and effect. 18.2 Waiver. WEIBOOK's failure to exercise or enforce any right or provision under these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of WEIBOOK. 18.3 Entire Agreement. These Terms, together with the Privacy Policy and any specific additional agreement signed between the parties, constitute the complete agreement between WEIBOOK and the User in relation to the Platform, and supersede any prior agreement, representation, or understanding, whether oral or written, on the same subject matter.

19.1 Assignment by the User. The User may not assign, transfer, delegate, or otherwise dispose of their rights or obligations under these Terms, in whole or in part, without WEIBOOK's prior written consent. Any attempted assignment without such consent will be null and void. 19.2 Assignment by WEIBOOK. WEIBOOK may assign these Terms, in whole or in part, without the User's consent, in the following cases: (i) in the context of a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets; (ii) to any affiliate or related company of WEIBOOK; or (iii) in the context of financing or corporate restructuring. WEIBOOK will notify the User of any assignment within a reasonable time. If the assignment entails a material change in the conditions of the service, the User will be entitled to cancel their subscription at no additional cost within thirty (30) days following the notice. 19.3 Binding effect. These Terms will be binding on the parties and their respective successors and permitted assignees.
